These Terms of Service (“Terms”) govern your use of the Payngen Gateway LLC (“Payngen”, “we”, “our”, or “us”) website, platform, and related services (collectively, the “Services”). By accessing or using our Services, you agree to these Terms.
If you do not agree, you may not use the Services.
Description of Services
Payngen provides a payment gateway platform that allows businesses (“Merchants”, “you”, “your”) to:
- Connect their existing merchant account (“MID”)
- Request a referral to third‑party processors for MID approval
- Process transactions through supported payment processors
- Use Payngen’s tools, integrations, and reporting features
Payngen is not a bank, processor, acquirer, or financial institution. We do not issue merchant accounts, hold funds, or perform underwriting.
Eligibility
To use the Services, you must:
- Be at least 18 years old
- Operate a legitimate business
- Comply with all applicable laws and card‑brand rules
- Provide accurate information during onboarding
We may refuse or suspend access at our discretion.
Merchant Accounts (MID)
Bring Your Own MID
You may connect an existing merchant account from any supported processor.
You are solely responsible for:
- Maintaining your processor agreement
- Settlement, funding, chargebacks, and fees
- Compliance with processor rules
Payngen does not manage or control your merchant account.
MID Referral Requests
If you request a referral:
- Payngen may introduce you to a third‑party processor
- Approval is determined solely by that processor
- Payngen does not guarantee approval or terms
- Any agreement you enter is strictly between you and the processor
Payngen is not responsible for underwriting decisions.
Use of the Gateway
You agree to use the Services only for lawful business purposes.
You must not:
- Process prohibited or high‑risk transactions without approval
- Attempt to bypass security or authentication
- Use the Services for fraud, abuse, or illegal activity
- Interfere with system performance or integrity
We may suspend or terminate access for violations.
Fees
Payngen may charge:
- Monthly subscription fees
- Per‑transaction gateway fees
- Add‑on or usage‑based fees
All fees are billed in USD unless otherwise stated.
Processor fees, interchange, chargebacks, and settlement costs are billed separately by your processor.
Data & Security
Payngen does not store full card numbers, CVV, or sensitive authentication data.
We rely on secure tokenization provided by processors and PCI‑compliant partners.
You agree to:
Follow applicable PCI DSS requirements for your environment
Maintain the security of your login credentials
Notify us immediately of unauthorized access
Third‑Party Processors
Transactions processed through Payngen are routed to third‑party processors selected by you.
Payngen is not responsible for:
- Processor outages
- Settlement delays
- Chargebacks
- Underwriting decisions
- Processor fees or penalties
Your relationship with each processor is governed by your separate agreement with them.
Availability & Support
We aim to maintain reliable uptime but do not guarantee uninterrupted service.
We may perform maintenance, updates, or improvements at any time.
Support is provided on a commercially reasonable basis.
Prohibited Activities
You may not use the Services for:
- Illegal goods or services
- Fraudulent transactions
- Money laundering
- Unapproved high‑risk categories
- Card testing or bot activity
We may suspend or terminate accounts engaging in prohibited activity.
Limitation of Liability
To the fullest extent permitted by law:
- Payngen is not liable for indirect, incidental, or consequential damages
- Payngen is not liable for losses related to processors, banks, or third‑party services
- Payngen’s total liability is limited to the fees paid to Payngen in the past 3 months
You use the Services at your own risk.
Disclaimer
The Services are provided “as is” and “as available” without warranties of any kind, express or implied.
Termination
We may suspend or terminate your access at any time for:
- Violations of these Terms
- Fraud or suspected fraud
- Processor or compliance issues
- Non‑payment
You may stop using the Services at any time.
Changes to These Terms
We may update these Terms periodically.
Continued use of the Services constitutes acceptance of the updated Terms.
Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict‑of‑law principles
